  • Harassment: Engaging in any conduct that harasses, intimidates, or causes distress to other users, Company employees, or representatives

  • Trademark Infringement: Using Chuys' trademarks, logos, brand names, or other proprietary designations without express written permission

Violation of any of the above prohibitions may result in immediate termination of your account and access to the services, and may subject you to civil and/or criminal liability under applicable United States federal and state law, including but not limited to the Computer Fraud and Abuse Act (18 U.S.C. § 1030) and the Electronic Communications Privacy Act.

4. Intellectual Property Rights

All content, materials, and features available on or through the Site, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, digital downloads, data compilations, software, and the overall design and layout of the Site (collectively, "Content"), are the exclusive property of Chuys or its licensors and are protected by applicable United States and international intellectual property laws, including copyright law (17 U.S.C. § 101 et seq.), trademark law, patent law, and trade secret law.

The Chuys name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Chuys or its affiliates and licensors. Subject to your compliance with these Terms, Chuys grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site and its Content for your personal, non-commercial use only. This license does not include the right to:

7. Limitation of Liability

Even if Chuys has been advised of the possibility of such damages, and even if any remedy set forth herein is found to have failed of its essential purpose, our aggregate liability to you for all claims arising out of or relating to the use of or any inability to use any portion of the Site or services shall not exceed the greater of (a) the amount you paid to Chuys in the twelve (12) months preceding the claim, or (b) one hundred United States dollars ($100.00).

Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, Chuys' liability shall be limited to the greatest extent permitted by applicable law.

Nothing in these Terms shall limit or exclude our liability for fraud, fraudulent misrepresentation, personal injury caused by our negligence, or any other liability that cannot be excluded or limited under applicable law.

8. Indemnification

You agree to defend, indemnify, and hold harmless Chuys and its respective officers, directors, employees, contractors, agents, licensors, service providers, subcontractors, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Site or services in a manner not expressly authorized by these Terms
  • Your violation of any applicable law, regulation, or third-party rights
  • Any content, information, or materials you submit, post, or transmit through the Site

Chuys reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate fully with Chuys in asserting any available defenses. 9. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States and the laws of the applicable state in which Chuys operates, without giving effect to any choice or conflict of law provisions.

You agree that any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts of competent jurisdiction in the United States, and you hereby irrevocably consent to the personal jurisdiction and venue therein.

Users located in California acknowledge that their use of the Site may be subject to additional protections under California state law, including the California Consumer Privacy Act (CCPA/CPRA), the California Business and Professions Code § 17200 et seq. (Unfair Business Practices Act), and the California Civil Code.

The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms or any transactions conducted through the Site.

10. Dispute Resolution

10.1 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to first contact Chuys at [email protected] and provide a written description of the dispute, the relief sought, and your contact information. Chuys will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. Both parties agree to engage in good-faith negotiations during this period.

10.2 Binding Arbitration

If the parties are unable to resolve a dispute informally within the thirty (30) day period, any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the services, shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules then in effect. The arbitration shall be conducted in English and, where practicable, shall be conducted remotely or via written submissions.

The arbitrator shall have authority to award any remedy or relief available under applicable law. The arbitrator's decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights, without first engaging in the informal dispute resolution process.

10.5 Time Limitation

Any claim or cause of action arising from or related to use of the Site or these Terms must be filed within one (1) year after such claim or cause of action arose, or such claim shall be forever barred, regardless of any statute of limitations to the contrary.

11. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use the Site or any services provided by Chuys. Chuys reserves the right, in its sole discretion, to:

  • Terminate or suspend your access to the Site or any portion thereof at any time, with or without cause, and with or without notice
  • Delete your account and all associated data in accordance with our Privacy Policy

Grounds for termination may include, but are not limited to, violation of these Terms, fraudulent activity, conduct harmful to other users or the Company, or any conduct that we believe, in our sole discretion, to be inappropriate or harmful.

13. User-Generated Content

To the extent the Site allows users to submit reviews, comments, feedback, photographs, or other content ("User Content"), you represent and warrant that: (a) you own or have the necessary rights and permissions to submit and use the User Content; (b) the User Content does not violate any applicable laws or third-party rights; and (c) the User Content is accurate and not misleading.

By submitting User Content to the Site, you grant Chuys a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with operating and promoting the Site and services.

Chuys reserves the right, but not the obligation, to monitor, edit, or remove any User Content at its sole discretion for any reason, including content that violates these Terms or that we find objectionable.

17. Entire Agreement

These Terms of Service, together with the Privacy Policy and any other legal notices, policies, or agreements published by Chuys on the Site, constitute the entire agreement between you and Chuys with respect to the Site and services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the subject matter herein.

No oral or written information or advice given by Chuys or its representatives shall create a warranty or expand the scope of these Terms beyond what is expressly stated herein. Any rights not expressly granted in these Terms are reserved by Chuys.

18. Force Majeure

Chuys shall not be liable or responsible to you, nor be deemed to have defaulted under or breached these Terms, for any failure or delay in fulfilling or performing any provision of these Terms when and to the extent such failure or delay is caused by or results from acts beyond our reasonable control, including but not limited to: acts of God, flood, fire, earthquake, epidemic, pandemic, governmental actions, war, invasion, acts of terrorism, labor disputes, internet service provider failures or delays, civil unrest, or any other events beyond our reasonable control.

19. Electronic Communications

By using the Site, you consent to receive electronic communications from Chuys, including emails, notices posted on the Site, or other electronic means.
